- You have signed a retainer agreement
- Any required retainer fee has been paid

5. Fees and Payment
Our fees and payment terms will be set forth in a written retainer agreement. Fees may include:
- Hourly rates for legal services
- Flat fees for specific services
- Retainer fees paid in advance
- Government filing fees and other costs
Payment is typically due upon receipt of invoice unless otherwise agreed in writing.
6. Client Responsibilities
As our client, you agree to:

- Respond promptly to our requests for information
- Keep us informed of any changes to your contact information
- Pay fees and costs as agreed
- Comply with all applicable laws and regulations
- Maintain confidentiality of attorney-client communications
7. Confidentiality
All communications between you and Usta Legal are confidential and protected by attorney-client privilege. We will not disclose your information without your consent, except as required by law or professional ethics rules.
8. Conflicts of Interest
We conduct conflicts checks before accepting new clients. If a conflict of interest arises during representation, we will notify you immediately and may need to withdraw from representation in accordance with professional ethics rules.
9. No Guarantee of Results
Legal matters involve complex factual and legal issues. We cannot guarantee specific results or outcomes. Our representation does not guarantee approval of any visa application, success in litigation, or any particular result.
10. Limitation of Liability
To the fullest extent permitted by law, Usta Legal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from our services, except in cases of gross negligence or willful misconduct.
11. Termination of Services
Either party may terminate the attorney-client relationship by providing written notice. Upon termination:
- You remain responsible for fees and costs incurred up to termination
- We will provide your files and documents upon request
- We may withdraw from representation with court approval if required
- We will take reasonable steps to protect your interests
12. Dispute Resolution
Any disputes arising from our services or these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in New York, NY. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
13. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
14. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the modified terms.
